Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Active Tree Services App ("the App"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

2. Who May Use the App

The App is intended for use by Active Tree Services Ltd employees, contractors, and authorized personnel only. Use of the App constitutes confirmation that you are authorized by Active Tree Services Ltd to access and use it.

3. Description of the App

The App is a business management platform providing tools for:

• Job and client management
• Estimates and invoicing
• Crew, equipment, and operations tracking
• AI-assisted tree intelligence (Ailah)
• Cloud data synchronization
• Document and photo management

4. Ailah — AI Assistant Disclaimer

Ailah is an AI assistant powered by Anthropic's Claude. Her responses are generated by artificial intelligence and are intended to assist — not replace — the professional judgment of a certified arborist.

• Ailah's responses are not a substitute for a formal ISA risk assessment, engineering report, or professional arborist consultation.
• Do not make safety-critical decisions based solely on Ailah's output.
• Active Tree Services Ltd is not liable for any decisions made based on Ailah's responses.
• Ailah may occasionally produce incorrect or outdated information. Always verify critical information from authoritative sources.

5. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms. You are responsible for the accuracy of data you enter into the App and for maintaining appropriate consent from clients whose information you store.

6. Client Information

When you store client contact information in the App, you represent that:

• You have collected that information lawfully.
• You have obtained any required consent under applicable Canadian privacy law.
• You will not use the App to store information of individuals who have not consented to their information being held by ATS.

7. Invoice and Financial Tools

The App's invoicing tools are provided as a convenience. Active Tree Services Ltd is not a financial institution and the App does not constitute accounting software. You are responsible for:

• The accuracy of all estimates and invoices generated.
• Correct application of applicable taxes (GST, PST) under CRA requirements.
• Maintaining your own books and records in accordance with CRA and Alberta regulations.
• Verifying that emailed invoices are received by clients.

8. Data Loss and Backups

While the App includes cloud sync and local storage, Active Tree Services Ltd is not responsible for data loss resulting from:

• Device failure, loss, or theft.
• Browser storage clearing or App uninstall.
• Cloud sync failures or Cloudflare service interruptions.
• User error (including accidental data deletion).

We strongly recommend using the JSON export feature regularly to maintain backups of your data.

9. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose.
• Attempt to reverse engineer, modify, or tamper with the App.
• Use the App to store or transmit harmful, defamatory, or illegal content.
• Share access credentials or App files with unauthorized parties.

10. Intellectual Property

The App, including its design, code, and content, is the property of Active Tree Services Ltd and its developers. All rights reserved. The Ailah name and character are proprietary to Active Tree Services Ltd. Unauthorized reproduction or distribution is prohibited.

11. Third-Party Services

The App integrates with the following third-party services, each governed by their own terms:

• Anthropic — AI processing for Ailah (anthropic.com)
• Cloudflare — Cloud storage and Worker infrastructure (cloudflare.com)
• Mailchannels — Invoice email delivery (mailchannels.com)
• Open-Meteo — Weather data (open-meteo.com)

Active Tree Services Ltd is not responsible for the availability, accuracy, or conduct of these third-party services.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Active Tree Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the App, including but not limited to data loss, business interruption, or reliance on AI-generated content.

13. Indemnification

You agree to indemnify and hold harmless Active Tree Services Ltd from any claims, damages, or expenses arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.

14. Modifications

We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms. Material changes will be communicated within the App where possible.

15. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Edmonton, Alberta.
